Non-Circumvention Clause Template

This pre-made clause prevents the recipient of the confidential information from going to the discloser's suppliers or clients directly with the intention of bypassing the discloser once the recipient had learnt the names of the discloser's business partners. This template will allow you to not only sue in the instance of a breach in agreement, but also to allege that any benefit obtained by the recipient through the use of confidential information and propriety should be turned over to you for the benefit of your company.
