An Asset Purchase Agreement (APA) is one that sets out the terms and conditions of a sale and purchase of assets in a business.

Instead of acquiring all shares of a company, a buyer will often prefer to take over certain assets of a company. If this happens, and if you are acquiring a business from an administrator or from an unincorporated organisation, the main agreement used will be the asset purchase agreement (APA).
