Mutual Non-Disclosure & Non-Circumvention Agreement

Description
A Non-Disclosure Agreement (also known as an NDA) and a Non-Circumvention Agreement are used during the early stages of a business transaction by intermediaries. Its aim is to make sure that the intermediaries (i.e. those who brought the buyer and seller together) are not ignored and any information is not exposed to any unauthorised party.

Not every agreement contains a non-circumvention inside but in this template you will find one in clause 3. This essentially stops the recipient of the confidential data from going to the discloser's clients.
